Distribution for the Financial Year 2016

For the financial year 2016, the Board of Directors proposes to the Annual General Meeting on April 28, 2017 the distribution of CHF 0.70 per registered share.

Subject to any legal restrictions applicable in their home jurisdiction, shareholders will be entitled to elect to either receive new shares of Credit Suisse Group (“CSG”), a cash distribution or a combination thereof. The issue price of the new shares will be determined based on the average of the daily VWAP (volume weighted average share price) of the CSG shares on SIX Swiss Exchange during the period of 5 trading days ending concurrently with the end of the election period, i.e. from May 15 to May 19 2017, close of trading on SIX Swiss Exchange; less a discount of 8%. If an eligible shareholder elects to receive new shares, the distribution amount (in Swiss Francs), for which the shareholder is entitled to, will be divided by the issue price per new share, resulting in the number of shares to be allocated. The residual value will be paid in cash. For further details, please refer to our AGM website.

The election period will last from May 9 through May 19, 2017 (noon CEST). The default option is to receive a cash distribution in the amount of CHF 0.70 per existing share/election right. To receive the distribution in the form of new shares, eligible shareholders need to follow the instructions to be provided by their custodian bank or broker.
The proposed distribution will be made out of capital contribution reserves. The distribution will be free of Swiss withholding tax and will not be subject to income tax for Swiss resident individuals holding the shares as a private investment.
The amount per American depositary share in USD will be determined by the USD/CHF exchange rate closer to the payment date.

The distribution out of capital contribution reserves was free of Swiss withholding tax and was not subject to income tax for Swiss resident individuals holding the shares as a private investment.
To be eligible to receive the distribution for 2016, it is necessary to own the CSG shares on May 8, 2017 (end of day).
