M&A Corporate Finance

In addition to M&A advisory expertise, the group's professionals bring a wealth of experience from a variety of areas in the global financial sector.

The group provides a full range of advisory businesses including mergers and acquisitions, disposals, strategic investments, joint ventures, privatizations, capital restructurings, spin-offs, minority buy-backs and takeover defense. Key features of our execution capabilities include: complete support for domestic and cross-border transactions, capability in developing innovative structures and the ability to provide new products in Japan's changing financial environment, including tracking stock, tax-efficient spin-offs and split-offs ("bunkatsu" transactions) and bankruptcy advisory.

Debt Capital Markets

The Debt Capital Markets Department in Japan works with corporate and government entities to structure and underwrite fixed income securities. DCM consists of three tightly coordinated groups: coverage, syndication, and structured finance. Each of these groups works closely with IBD and the Securities Division to execute all liability-related transactions for the bank's clients as part of the Global Debt Capital Markets Group.

The groups within DCM are responsible for a broad range of products and services, including:

  • Acquisition financing
  • Asset-backed securities
  • Corporate bonds, medium-term notes, and commercial paper
  • Government agency bonds
  • Liability management solutions, such as debt repurchase programs and interest rate hedging
  • Principal financing for assets in Japan
  • Restructuring of existing indebtedness

The Debt Capital Markets Department in Japan is based in Tokyo and collectively has substantial professional expertise in all relevant markets and products.

Equity Capital Markets

The Equity Capital Markets Group is responsible for activities in the primary equity and equity-linked markets in Japan. It works closely with Investment Banking in Japan with the identification and origination of primary business from our outstanding client list of Japanese corporates and financial institutions.

Additionally, it manages the structuring, marketing, syndication and distribution of equity and equity-related offerings. In this role, it can draw on the resources of our rapidly growing and highly-respected Japanese Equity division.

The group has already established a presence as an underwriter and distributor of significant equity offerings, including participation in recent transactions by NTT and NTT Docomo. It has also built a reputation as a top supplier of equity monetization services for corporates and financial institutions looking to unwind significant equity stakes.
