Scrip dividend for the financial year 2014: Announcement of final terms and number of new Credit Suisse Group AG shares to be issued

Credit Suisse Group AG today announced the issuance of 31,226,399 new shares as a result of the scrip dividend elections for the financial year 2014, representing 1.9% of the Credit Suisse Group AG share capital currently issued. The issue price of the new shares is CHF 23.00.

The election period during which eligible shareholders could make their election on how to receive their distribution for the financial year 2014 ended on May 18, 2015 (12:00 CEST). During the election period, 1,026,005,822 election rights were exercised for the receipt of new Credit Suisse Group AG shares. This results in 31,226,399 new Credit Suisse Group AG shares to be issued out of authorized capital, representing 1.9% of the share capital of Credit Suisse Group AG currently issued.

The reference share price is calculated based on the average of the daily volume-weighted average prices of the Credit Suisse Group AG shares on SIX Swiss Exchange from May 11, 2015 to May 18, 2015, and is CHF 24.47. Less the discount of 6% to the reference share price, the issue price of the new Credit Suisse Group AG shares is CHF 23.00, resulting in a conversion ratio of 1 new share for 32.857 existing shares.

63.8% of the distribution for the financial year 2014 will be paid in new Credit Suisse Group AG shares. Election rights not exercised for the receipt of new Credit Suisse Group AG shares during the election period will be paid out in cash in the amount of CHF 0.70 per registered share, as decided at the Annual General Meeting on April 24, 2015.

The delivery of the new Credit Suisse Group AG shares as well as the payment of the cash distribution is expected to occur on May 21, 2015.
